International Paper (Purchase, NY) has offered to purchase all outstanding shares of Champion Intl. (Stamford, CT). International Paper has also signed a memorandum of understanding with Motorola, Inc.

(Schaumburg, IL) in anticipation of mfg. “smart packages.”

—Westvaco Corp. (New York, NY) announced a definitive agreement to acquire Impac Group, Inc. (Melrose Park, IL), who has recently acquired Commercial Lithographing Co. (Louisville, KY). Westvaco (New York, NY) has also completed the sale of its liquid packaging business to Blue Ridge Paper Products, Inc. (Asheville, NC).

—Illinois Tool Works, Inc. (Glenview, IL) has acquired ITI Worldwide (Cookeville, TN).

—Pro Mach, Inc. (Atlanta, GA) has purchased Rennco, Inc. (Homer, MI).

—SKM Applied Technology Partners (Radnor, PA) has acquired Nadel Industries, Inc. (Port Chester, NY).

—Georgia-Pacific Corp. (Atlanta, GA) has reached a tentative agreement with Paccess (Portland, OR) under which Paccess will manage the West Coast open market sales for Georgia-Pacific’s Toledo, OR, containerboard mill.

—Packaging Technology Center (Houston, TX) has purchased the assets and business activities of the RVR Packaging Testing Center (Houston, TX).

—SWF Companies (Sanger, CA) has purchased Yakima Wire Works, Inc. (Yakima, WA).
